Terms of Service
1. General
1.1 These Terms of Service (“Terms”) describe your rights and responsibilities as a reader using BookArc, a reading and book-delivery platform operated by Orpheus Technology Ltd (“BookArc,” “we,” “us,” or “our”).
1.2 BookArc lets you receive, download, and read books and other materials that authors and publishers deliver to you. By creating a BookArc account, downloading a book through BookArc, or using the BookArc reading apps, you agree to be bound by these Terms. If you do not agree, you must not use the service.
1.3 If you are using BookArc on behalf of another person or a legal entity, you represent that you have authority to bind them to these Terms. “You” or “your” includes any such person or entity.
1.4 We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the app or on our website. If you disagree with the changes, you may close your account within ten days of notification. Continued use after that period constitutes acceptance of the revised Terms.
2. The BookArc Reading Service
2.1 BookArc provides apps and websites that let you discover, receive, download, and read books, samples, and reading materials that authors and publishers choose to deliver to you, and to organise them in a personal library that can sync across your devices.
2.2 BookArc offers both free and paid tiers. Free tiers have limited functionality. Paid tiers require payment of the applicable subscription fees as specified at the time of purchase.
2.3 We may update, modify, or improve BookArc at any time, including changes to features, interfaces, and technical specifications. We will give reasonable advance notice of any changes that materially affect paid services.
2.4 We may offer free trials of paid features at our discretion. Trial access may be modified or revoked at any time without notice and does not guarantee the future availability of those features.
2.5 The books and materials available to you depend on what individual authors and publishers make available. We do not guarantee that any particular book will be offered, remain available, or be delivered successfully, as this depends on the rights holder and on factors such as email filters and device compatibility.
2.6 We may retain third-party subcontractors and service providers to help deliver the service.
3. Who Can Use BookArc
3.1 You must be at least 13 years old to use BookArc, or such greater age as is required to provide consent for the processing of personal data in your country.
3.2 By using BookArc, you represent and warrant that you have the legal capacity to enter into a binding contract.
3.3 If we learn that we have collected personal data from someone below the permitted age, we will delete it promptly. To report a suspected violation, please email hello@bookarc.app.
4. Your Account
4.1 Some features require a BookArc account. You agree to provide accurate information when registering and to keep it up to date.
4.2 You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us promptly at hello@bookarc.app if you believe your account has been accessed without your authorisation.
4.3 Your library, reading progress, bookmarks, highlights, and settings may sync across the devices where you are signed in, so that you can pick up where you left off.
5. Books and Materials You Receive
5.1 The books, samples, and other materials you receive or download through BookArc are owned by their authors, publishers, or other rights holders. Except for the licence granted to you below, BookArc and those rights holders reserve all rights.
5.2 Unless the rights holder tells you otherwise, you are granted a personal, non-exclusive, non-transferable, revocable licence to download and read the materials you receive for your own personal, non-commercial use. Some books may carry additional terms set by the author or publisher, which you also agree to observe.
5.3 You must not copy, sell, sub-license, lend, rent, redistribute, publicly share, or otherwise make available the books or materials you receive, and you must not remove, disable, or circumvent any access controls or protections applied to them, except where you have the rights holder’s permission or where the law expressly allows it.
5.4 Access to a book may depend on the author or publisher continuing to make it available. We are not responsible if a rights holder withdraws a book or if your access is otherwise affected by their decisions.
6. Your Own Content
6.1 You retain full ownership of any content you add to BookArc — including books you already own and upload, and your notes, highlights, and annotations. BookArc claims no rights over your content.
6.2 You are responsible for ensuring that you have the right to upload and store any content you add to BookArc.
6.3 We will never access or use your content without your specific permission, except where required by law or to deliver the service (for example, to sync your library to your other devices).
7. Acceptable Use
7.1 You agree not to use BookArc to:
- Upload, download, or distribute illegal content, or content that infringes third-party intellectual property or other rights
- Copy, share, or redistribute books or materials you have received in breach of section 5
- Circumvent, disable, or interfere with any access controls, licensing, or protection measures
- Distribute malware, viruses, or other harmful or disruptive files
- Attempt to gain unauthorised access to BookArc systems or to other users’ accounts
- Harvest or collect data from BookArc in an automated or systematic manner, except via documented BookArc APIs
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Threaten, harass, or abuse any person
- Use the service in any way that violates applicable local, national, or international law
7.2 We may remove offending content, or suspend or terminate your access to BookArc, if we reasonably believe you have violated these rules or if your use poses a risk to the platform, other users, or third parties.
8. Intellectual Property
8.1 BookArc owns all intellectual property rights in the BookArc platform, including its apps, software, design, trademarks, and documentation. These Terms do not transfer any of those rights to you.
8.2 You may not copy, modify, distribute, or reverse-engineer any part of the BookArc platform without our prior written consent.
9. Payment and Subscriptions
9.1 Paid reader features require payment of the applicable subscription fees. Fees are as specified at the time of purchase and are charged in advance for each billing period.
9.2 Unless otherwise stated, subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal at any time through your account settings.
9.3 Fees are non-refundable except where required by applicable law or as otherwise stated in our refund policy.
9.4 Purchases of individual books or materials may be handled by the author, publisher, or a third-party payment provider, and may be subject to their own terms and refund policies.
10. Closing Your Account
10.1 You may close your BookArc account at any time through your account settings or by contacting us at hello@bookarc.app. We recommend exporting or downloading anything you wish to keep before closing your account.
10.2 Upon closure, your account and associated content will be marked for deletion within sixty days and permanently deleted after that period. Closing your account does not by itself extend or renew your licence to any book you have received.
11. Disclaimer of Warranties
11.1 While we strive to keep BookArc reliable and to be good stewards of your data, the service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 We do not warrant that the service will be uninterrupted, timely, secure, or error-free, that any defects will be corrected, or that any particular book will be delivered, remain available, or be free of errors, as this depends on factors outside our control such as the choices of rights holders, email filters, and device compatibility. You use the service at your own risk.
12. Limitation of Liability
12.1 To the fullest extent permitted by applicable law, BookArc and Orpheus Technology Ltd, and their officers, directors, employees, and agents, shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the service, even if we have been advised of the possibility of such damages.
12.2 This limitation applies whether the claim arises in contract, tort (including negligence), or otherwise. Our total aggregate liability for any claim arising from your use of BookArc shall not exceed the total amount you paid to us in the twelve months immediately preceding the event giving rise to the claim.
12.3 Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability; in such cases, our liability is limited to the greatest extent permitted by applicable law.
13. Indemnification
13.1 You agree to indemnify, defend, and hold harmless BookArc, Orpheus Technology Ltd, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of BookArc; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you upload or share through BookArc.
13.2 We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense. This does not relieve you of your indemnity obligations.
14. Right to Modify or Terminate
14.1 We may modify, limit, or terminate BookArc or any part of it at our sole discretion. We do not guarantee that any portion of the service will remain available for any particular period.
15. Governing Law and Jurisdiction
15.1 These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. You agree to bring any claim arising from your use of BookArc exclusively in the courts of England and Wales, and you submit to the personal jurisdiction of those courts.
16. General
16.1 Any cause of action arising from your use of BookArc must be commenced within one year of the event giving rise to it, or it shall be permanently barred.
16.2 These Terms constitute the entire agreement between you and BookArc with respect to their subject matter and supersede all prior communications, agreements, and proposals. A waiver of any right or provision under these Terms is only effective if made in writing and signed by an authorized representative of BookArc.
16.3 If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
16.4 You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
16.5 Automated querying of BookArc is strictly prohibited except via documented BookArc APIs. Non-compliance may result in permanent termination of access.
